As an experienced attorney who graduated from the University of Illinois College of Law in 1973, I have advised numerous clients on the various forms in which business can be conducted. These forms include sole proprietorship, general partnership, limited partnership, limited liability partnership, corporation, professional corporation, limited liability company, and series limited liability company. I have reviewed with various clients non tax considerations in selecting the form of business entity including limited liability, administrative requirements, and costs.
In addition to nontax considerations in business entity selection, I have advised numerous clients on the tax considerations associated with business entity selection. These issues have included flow thru of income or loss of the business entity to their individual return, various tax free fringe benefits in regular C corporation, and traps for the unwary in Subchapter S corporations. As an experienced international tax attorney for four Fortune 500 companies, I have also advised them and current clients on the international tax aspects of various transactions. In 1987 and 1989 I chaired the International Tax committee of the Chicago Tax Club. I have lectured before the Illinois Certified Public Accounting Society on the U.S. international tax consequences of foreign currency swaps and derivatives.
I have drafted for new business clients Articles of Incorporation, Operating agreements for Limited Liability Companies and Series LLCs, and Partnership Agreements. I have represented clients in the sale or purchase of various businesses over the years including negotiation of price and terms of the sale or purchase.
